Terms of Service

These terms govern your organization's use of NeverLapse, a compliance-tracking service for regulated small businesses.
1. Service description
NeverLapse is a software-as-a-service tool that lets an organization record compliance items — business licenses, contractor licenses, insurance certificates, EPA certifications, vehicle registrations and similar records — associate them with locations and people, store supporting documents, calculate a status of valid, expiring or expired from the expiration date you enter, send email reminders ahead of expiration, and produce an audit trail and shareable read-only compliance snapshots.
NeverLapse is a record-keeping and notification tool. It is not a law firm, licensing agency, insurance broker, or compliance auditor. It does not file renewals on your behalf, does not verify that a document you upload is authentic or current, and does not determine which credentials your business is legally required to hold.
2. Your account and organization
Creating an account creates one organization and makes you its owner. You are responsible for the accuracy of the data entered by anyone you invite, for keeping credentials confidential, and for all activity under your organization. Roles (owner, manager, staff) control what members can do; you are responsible for granting them appropriately.
3. Compliance responsibility remains with you
You, not NeverLapse, are solely responsible for meeting every compliance deadline that applies to your business.
Statuses and reminders are generated from the expiration dates and lead times that you enter. If a date is entered incorrectly, entered late, or never entered at all, the service cannot warn you about it. A "valid" status in NeverLapse is a statement about your own records, not a legal determination that your business is in compliance.
4. Reminder delivery — no guarantee
Reminder emails are sent through third-party infrastructure (email delivery providers, scheduling systems, and your own mail host). NeverLapse does not guarantee that any reminder will be generated, delivered, delivered on time, or seen. Reminders may fail or be delayed because of provider outages, spam filtering, blocked or full mailboxes, incorrect member email addresses, scheduled maintenance, or defects in the service.
Reminders are a convenience, not a safety net. You must maintain your own independent means of tracking renewal deadlines. NeverLapse is not liable for any lapsed license, missed renewal, fine, penalty, stop-work order, denied claim, lost contract, or other consequence arising from a reminder that was not sent, not delivered, or not acted upon.
5. Limitation of liability
To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
NeverLapse will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost contracts, regulatory fines, or reputational harm, even if advised of the possibility. Total aggregate liability for any claim relating to the service is limited to the subscription fees you actually paid in the twelve months immediately preceding the event giving rise to the claim.
6. Data ownership and retention
Your organization owns the data it enters: locations, people, compliance items, uploaded documents, and audit history. You grant NeverLapse a limited license to store, process, and transmit that data only as needed to operate the service for you — including generating statuses, sending reminders, and rendering shareable snapshots that you create.
Data is retained while your subscription is active. You may export audit records as CSV or PDF at any time. Deleting your account from Settings permanently deletes the organization, its members, locations, people, compliance items, stored documents, and audit history, and deletes your login. Deletion cannot be undone; export anything you need first. Residual copies may persist in encrypted backups for a limited period before being overwritten.
Audit log entries are append-only while your account exists — they cannot be edited or deleted individually, by design, so the trail stays trustworthy.
7. Subscriptions, billing, and cancellation
Paid plans (Solo, Growth, Multi-Site) are billed monthly in advance through Stripe. Plan limits on locations and people are enforced by the service; exceeding your plan requires an upgrade. Upgrades take effect immediately and are prorated by Stripe; downgrades take effect at the start of the next billing period and require you to first reduce usage to fit the lower plan.
Subscriptions renew automatically until cancelled. You may cancel at any time from Settings → Billing; access continues until the end of the paid period. Fees already paid are non-refundable except where required by law. Prices may change with at least 30 days' notice before your next renewal. Failed payments may result in suspension of access after a grace period; your data is retained during suspension.
8. Acceptable use
You agree not to:
- upload documents you do not have the right to store or share;
- use the service to store data unrelated to your organization's compliance records;
- falsify compliance records, expiration dates, or audit entries, or use shareable links to misrepresent your compliance posture to a regulator, insurer, or franchisor;
- attempt to access another organization's data, or probe, scan, or bypass security controls;
- resell, sublicense, or white-label the service without written permission;
- send reminders to recipients who have not agreed to receive them, or otherwise use the email features to send unsolicited mail;
- overload the service with automated requests or scrape it in bulk;
- use the service for any unlawful purpose.
We may suspend or terminate accounts that violate this section, with notice where practical and immediately where necessary to protect the service or other customers.
9. Shareable compliance links
Shareable links produce a read-only, time-limited snapshot of compliance status and audit history for one location or the whole organization. Anyone holding the link can view that snapshot without logging in. You are responsible for who you send links to and for revoking or expiring them when no longer needed.
10. Changes and termination
We may modify these terms; material changes will be announced before they take effect, and continued use after that date constitutes acceptance. Either party may terminate at any time — you by cancelling and deleting your account, us by notice for non-payment or violation of these terms.
11. Governing law
- Governing Law: These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the State of New Jersey, without giving effect to any choice or conflict of law provision or rule.
- Agreement to Arbitrate: Any dispute, claim, or controversy arising out of or relating to these Terms, the NeverLapse service, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The place of arbitration shall be within New Jersey, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
- Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, each party waives any right to a jury trial.
- Judicial Forum: For any legal actions permitted under these Terms or where arbitration does not apply, you and Licowish, LLC agree to submit to the exclusive personal jurisdiction of the state and federal courts located in New Jersey for the purpose of litigating all such claims.
